The WISER Consultancy Code of Business Conduct and Ethics are fundamental to the values of the company and essential to achieving its mission. High ethical standards are critical to building and maintaining trust in the activities of the company. All WISER Consultancy personnel, associates and (sub)contractors must abide by this Code. Violations may result in disciplinary sanctions by the company. Sanctions can include immediate termination for cause of any contractual relationship and reporting of the violation to relevant authorities and professional organisations guarding over business integrity where the violator maintains a membership.

Policy on ethics

WISER Consultancy pursues to:

• Act with integrity, competence, diligence, respect and in an ethical manner in their professional relations with the public, government, clients, prospective clients, employers, employees, colleagues, media and any other entity or individual.

• Place the integrity of their professional activities and the interests of clients above their own company or personal interests.

• Use reasonable care and exercise independent professional judgment when conducting technical, financial, legal or any other analysis, making recommendations, taking actions, and engaging in other professional activities.

• Encourage their personnel, associates, (sub)contractors and others to practice in a professional and ethical manner that will reflect credit on themselves and their profession.

• Maintain and improve their professional competence and strive to maintain and improve the competence of their colleagues and other professionals.

Policy on business conduct

1. Single representation. WISER Consultancy will charge only one party for their services. If for good reasons two or more parties are engaged in contracts for the same activity the company will notify the other party or parties involved timely about the nature of this engagement.

2. Knowledge of the Law. WISER Consultancy pursues to comply with all applicable laws, rules, and regulations of any government, regulatory organization, licensing agency, or professional association governing their professional activities. In the event of conflict, WISER Consultancy will comply with the more strict law, rule, or regulation.
   WISER Consultancy will not knowingly participate or assist in and will dissociate from any violation of such laws, rules, or regulations.

3. Independence and Objectivity. WISER Consultancy will use reasonable care and judgment to achieve and maintain independence and objectivity in their professional activities. WISER Consultancy personnel, associates and (sub)contractors will not offer, solicit, or accept any gift, benefit, compensation, or consideration that reasonably could be expected to compromise their own or another’s independence and objectivity.

4. Disclosure of Conflicts. WISER Consultancy will make full and fair disclosure to relevant parties of all matters that could reasonably be expected to impair their independence and objectivity or interfere with respective duties to their clients, prospective clients, and the company. WISER Consultancy will ensure that such disclosures are prominent, are delivered in plain language, and communicate the relevant information effectively.

5. Confidentiality. WISER Consultancy will keep strict confidentiality to all non-publicly available information provided by governments, companies or other organisations. Particular caution will be taken when confidentiality is demanded by contract, government rules and to information provided for a secure dataroom. Confidentiality will be maintained after termination of the contractual, informal or other relationship.
   These requirements do not apply when the information concerns illegal activities, disclosure is required by law, or disclosure of the information is granted in writing.

6. Professional conduct. WISER Consultancy personnel, associates and personnel of (sub)contractors will act in accordance with standards of professional conduct in their particular specialism. For engineers the code of conduct of the Royal Netherlands Society of Engineers, for financial specialists the code of ethics & standards of the CFA institute and for legal specialists the code of conduct for European lawyers of the CCBE. In case of conflict, this and other WISER Consultancy code(s) of conduct prevail.

7. Loyalty, Prudence, and Care. WISER Consultancy has a duty of loyalty to their clients and must act with reasonable care and exercise prudent judgment. WISER Consultancy will act for the benefit of their clients and place their clients’ interests before their own interests.

8. Fair Dealing. WISER Consultancy will deal fairly and objectively with all clients and other business partners when providing technical, financial, legal or any other analysis, making recommendations, taking action, or engaging in other professional activities.

9. Misconduct. WISER Consultancy will not engage in any professional conduct involving dishonesty, fraud, or deceit or commit any act that reflects adversely on their professional reputation, integrity, or competence.
